END-USER LICENSE AGREEMENT (EULA)

This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and ProppyApp Sdn Bhd ("Company," "we," or "us") regarding the use of the Asset Management Portal ("Portal") and any asset assigned or provided to you through the Portal. By accepting the asset in the Portal, you agree to be bound by the terms of this Agreement.
1. Acceptance of Terms
By accessing or using the Portal, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms, do not accept any assets or use the Portal.
2. License Grant
Subject to the terms of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal for the purpose of managing assets assigned to you. This license is strictly for internal business purposes.
3. User Responsibilities
- You agree to use the assets provided to you in accordance with Company policies and for their intended purpose.
- You agree to maintain the condition of the assets and report any issues or damage promptly.
- You shall not transfer, sell, or modify any asset without the prior written consent of the Company.
- You shall follow all applicable local and international laws in the use of any asset.
4. Ownership of Assets
The Company retains all ownership rights, title, and interest in the assets provided to you through the Portal. The assets are and remain the property of the Company or its licensors. You shall have no ownership rights or claims to the assets.
5. Restrictions
You agree not to:
- Reverse engineer, decompile, or disassemble any software, hardware, or other proprietary systems provided through the Portal.
- Circumvent any access restrictions, security measures, or features of the Portal.
- Use the Portal or any assets for illegal or unauthorized purposes.
6. Liability and Indemnity
You agree to use the assets at your own risk. The Company shall not be held liable for any damages, loss, or liability arising from the use or inability to use the assets. You agree to indemnify and hold the Company harmless against any claims arising from your misuse of the assets.
7. Termination
The Company reserves the right to terminate or suspend your access to the Portal or any asset at any time, without notice, for any reason, including violation of this Agreement. Upon termination, you must return any assets to the Company. Assets should be returned in good working condition, barring normal wear and tear. You are responsible for damages caused by negligence.
8. Amendments
The Company may modify this Agreement at any time by posting the revised terms in the Portal. Your continued use of the Portal or acceptance of any new assets after such modifications will constitute your acknowledgment of the modified terms.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising under this Agreement shall be resolved in the courts of Malaysia.
10. Miscellaneous
If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement will remain in full force and effect. This Agreement constitutes the entire agreement between you and the Company concerning the use of the Portal and assets.
